1. Parties and eligibility

These terms govern a business customer's use of BakedBrie, a business name of ParagraphAI Inc. The person accepting confirms that the customer is acting for business purposes, has authority to bind the named business, and is not acquiring a listing for personal, family, or household use.

The seller identified on the listing and checkout is the seller and merchant of record for the purchased software, installation, Updates, and Managed upkeep. ParagraphAI Inc. operates the marketplace and workspace service but is not the seller of a third-party listing.

2. Accounts and security

The customer must provide accurate account information, protect authentication factors and recovery methods, use mandatory multifactor authentication where offered, promptly revoke compromised sessions or connections, and keep workspace permissions current. The customer is responsible for authorized users and for selecting which connected AI account or customer-side runtime funds each agent or board.

3. Platform service

BakedBrie provides workspace, board, workflow, installation, connection, audit, and marketplace functions. Service availability may depend on customer-selected providers, seller deliverables, and third-party infrastructure. BakedBrie may impose documented security, resource, or abuse limits and may pause work when authority, funding, credentials, or outcome state is unknown.

4. Marketplace purchases

Each checkout covers one identified seller. The checkout must display the seller's legal or public business identity, support contact, offering, pretax price, applicable tax, recurring status, renewal terms, and the uniform refund policy before payment.

The seller sets the pretax price and is responsible for the charge, receipt, statement descriptor, transaction tax, first-line support, refunds, disputes, and residual seller liabilities. BakedBrie receives a 10% application fee calculated from the seller-set pretax amount. Stripe and the seller may impose or bear processing and payout effects that do not change that disclosed application-fee basis.

5. License and services

The listing must state the license scope, permitted business users or workspaces, included version, dependencies, support window, Updates, and any Managed upkeep. Unless a listing expressly grants ownership, the buyer receives a limited, non-exclusive, non-transferable business-use license for the purchased version and scope.

Human installation, setup, customization, support, and upkeep are services performed by the seller. They are distinct from the software license and must have a stated scope, timing, acceptance criteria, and change process. The seller may not access workspace content beyond the buyer's explicit grant.

6. Customer data and AI connections

The buyer controls workspace content. ParagraphAI Inc. processes that content to provide and secure the service. A seller receives only the content and permissions the buyer explicitly grants for installation or support. The buyer represents that it has authority to submit content and instructions.

Customer-supplied OpenAI and Anthropic API accounts remain customer-funded. Supported Codex and Claude subscription runtimes execute on a customer-controlled device or host. Subscription credentials must not be uploaded to or pooled in BakedBrie infrastructure. If a provider does not document the requested subscription use, the connection fails closed.

7. Reviews and human decisions

Automated output can be incomplete or incorrect. The customer remains responsible for reviewing consequential output and for required human decisions. BakedBrie does not provide regulated professional advice, employment placement, financial transactions, medical decisions, or other prohibited offerings described in the Acceptable Use Policy.

8. Refunds, cancellation, and disputes

The uniform 14-day Marketplace Refund Policy applies to marketplace purchases. Recurring Updates or Managed upkeep can be canceled prospectively through the stated cancellation path. Cancellation does not erase completed work or lawful records. The seller provides first-line support and dispute evidence; BakedBrie may facilitate, enforce marketplace rules, or suspend a seller.

9. Suspension and termination

BakedBrie may suspend access or execution to contain a security incident, prevent unauthorized or unlawful activity, enforce resource or payment controls, or address a material breach. When lawful and safe, BakedBrie will provide notice and a reasonable opportunity to cure. Termination does not remove accrued payment, refund, confidentiality, audit, or liability obligations.

10. Export and continuity

The customer may use available export functions during the account term and any documented post-termination window. Export formats, retention periods, deletion timing, and unresolved external-provider work must be stated in the service documentation. BakedBrie does not promise that a third-party listing will remain available forever; purchased-version and continuity obligations are governed by the listing and seller agreement.

11. Confidentiality, warranties, and liability

Each party must protect the other's confidential information using reasonable safeguards and use it only for the agreement. Final warranty disclaimers, service levels, indemnities, liability caps, excluded damages, insurance requirements, and mandatory-law carve-outs must be supplied and approved by counsel before publication.

12. Governing law and disputes

The proposed governing law is Ontario and the federal laws of Canada applicable there. Venue, notice, escalation, and dispute-resolution wording remain subject to counsel approval. Nothing in these terms excludes rights that cannot lawfully be excluded.

13. Changes and contact
